1. Acceptance of Terms

The Same Plate LLC (“The Same Plate,” “us” or “we”) offers Roaming Recipes meal kit delivery, wherein The Same Plate provides you with a box of raw ingredients and instructions for preparing a meal with the ingredients (“Roaming Recipes Delivery”), and a Roaming Recipes Delivery subscription program, wherein The Same Plate delivers meals on a recurring basis (“Subscription”).

By purchasing a Roaming Recipes Delivery and/or Subscription, you accept and agree to be bound by all of the following Terms and Conditions of Service (“Terms”). .

We reserve the right to change these Terms from time to time with or without advance notice to you. You acknowledge and agree that it is your responsibility to periodically review these Terms. Your continued use of a Subscription after such modification will be considered acknowledgement and acceptance of the modified Terms.

2. Billing

If you are a Subscription customer, you consent to have the Subscription price automatically billed to your credit card monthly. The subscription price is subject to change, but The Same Plate agrees to give you 30 days written notice prior to increasing the price of the Subscription.

3. Delivery Rescheduling

You may reschedule a Roaming Recipes Delivery or relocate delivery to another address within The Same Plate’s delivery radius with notice 72 hours prior to the start of your delivery window. Rescheduling a Roaming Recipes Delivery will result in a Roaming Recipes Delivery credit that must be used within 6 months of the rescheduled delivery date. The Same Plate cannot accept delivery changes fewer than 72 hours before the scheduled delivery time.

4. Cancelling a Subscription

You may cancel a Subscription at any time by emailing kayla.ferguson@thesameplate.com. If you give notice of your intent to cancel after your billing date but before your delivery date for the month, you will receive the Roaming Recipes Delivery(s) that you have been billed for prior to giving notice.

5. Refunds

Due to the subjective nature of taste and flavor preferences, refunds are not available if you are dissatisfied with a meal. Refunds are available only in case of The Same Plate’s failure to deliver promised ingredients.

6. Food Allergies

The Same Plate strives to offer Roaming Recipes Deliveries that exclude common allergens. However, The Same Plate cannot guarantee that any of the products it serves are allergen free. Ingredients may be processed or prepared in facilities that also process allergens including nuts, wheat, dairy, and shellfish. The Same Plate cannot accept requests to accommodate allergies or dietary preferences.

7. Substitutions & Adjustments to Delivery Schedule

The Same Plate is a small business and may be affected by ingredient shortages, staffing disruptions, or other unforeseen circumstances. The Same Plate reserves the right to substitute ingredients or meals without notice and to occasionally adjust the delivery schedule with 72 hours notice to you.

8. Your Food Storage and Preparation Responsibilities

The Same Plate delivers Roaming Recipes Deliveries in thermal-lined packages designed to keep food cold in transit. Effectiveness and duration of thermal-lined packaging varies based on conditions at the delivery location. The Same Plate recommends you put items in the refrigerator immediately after delivery. You are solely responsible for ensuring safe food storage temperatures after delivery.

The Same Plate provides cooking instructions including recommended instructions for raw ingredients. You are solely responsible for heating raw ingredients thoroughly, washing ingredients and taking other at-home steps to ensure food hygiene and safety after delivery.

9. Privacy Statement

To improve user experience, The Same Plate may collect information from you when you visit the The Same Plate website or websites associated with the The Same Plate, including analytics such as your computer’s IP address, web pages requested, the referring web page, your browser, and the date and time that you access materials. The Same Plate also uses cookies to deliver web content specific to individual users’ interests and to keep track of online transactions. The Same Plate does not collect or store your sensitive information.

You give The Same Plate permission to use information collected from your use of the website, as well as information that you provide to The Same Plate through The Same Plate’s website and purchasing platform, for the purpose of delivering services and products purchased from The Same Plate and for selling additional products to you, including through targeted advertising. The Same Plate may provide your information to third parties in order to deliver services or targeted advertisements to you. The Same Plate will not sell your information to third parties.

10. Limitation of Liability and Indemnification

a). Limitation of Liability

In no event shall we be liable to you or any third party for any special, punitive, incidental, indirect, or consequential damages of any kind, or any damages whatsoever, on any theory of liability arising out of or in connection with the use of Roaming Recipes Delivery(s) or a Subscription. By using a Roaming Recipes Delivery and or Subscription, you agree to release The Same Plate and its employees, agents, and representatives from any and all claims that may directly or indirectly arise out of use of, or inability to use, the Roaming Recipes Delivery(s) and Subscription, whether the claims arise from The Same Plate’s negligence or some other cause.

11. Governing Law

These Terms are governed and construed in accordance with the laws of the State of Colorado. Any legal action with respect to these Terms must be brought in the courts located in Jefferson County, Colorado or the United States District Court for the District of Colorado.
